Terms of Service – CreaivState

1. Introduction
These Terms of Service (“Terms”) govern all services provided by CreativState (“Consultant”, “I”, “me”, or “my”) to the client (“Client”, “you”).
By engaging my services, you agree to these Terms. If you do not agree, you may not use my services.
2. Scope of Services
I provide creative consulting, project support, and related services, including but not limited to:
1:1 consulting calls to improve workflow, prevent burnout, overcome creative blocks, and align work with integrity.
Creative project involvement, including team alignment, communication, marketing strategy, and workflow optimisation.
The scope may evolve during the engagement, including during 1:1 sessions, to address newly identified needs.
Additional services may be agreed verbally or in writing.
3. Client Responsibilities
You agree to:
Participate fully and provide accurate information relevant to the engagement.
Make decisions and take actions necessary to implement agreed strategies.
Respect agreed timelines for feedback, communication, and payment.
You remain solely responsible for your own decisions, actions, and results.
4. No Guarantee of Results
I will do the objective standard required of me by law and, in addition, make every effort I, in my professional judgment, consider reasonable to support you in achieving your goals.
However, I do not and cannot guarantee specific results. Outcomes depend on your actions, commitment, and circumstances, as well as external factors beyond my control.
5. Fees & Payment
1:1 Consulting Calls: Payable in full before the scheduled session.
Monthly Retainers & Day Rates: Payable in full before the start of the month/day.
Project Work: Minimum 50% non-refundable deposit before work begins; remaining 50% due upon completion, unless otherwise agreed in writing.
All fees will be confirmed in the proposal or booking confirmation and must be paid in accordance with the agreed schedule.
6. Cancellations & Rescheduling
1:1 Consulting Calls:
Cancellations more than 48 hours before the scheduled start time: eligible for rescheduling without penalty.
Cancellations 24–48 hours before the scheduled start time: 50% of the fee will be retained.
Cancellations less than 24 hours before the scheduled start time or no-shows: 100% of the fee will be retained.
Project Work:
If the Client cancels after work has begun, all completed work will be invoiced and the deposit retained.
Unused monthly or day-rate bookings are non-refundable once the engagement has started.
7. Expenses
If travel or other out-of-pocket costs are required, these will either be pre-approved and invoiced separately or included in the service fee, as agreed in writing.
8. Intellectual Property
All custom deliverables created specifically for the Client become the Client’s property once full payment is received.
All underlying frameworks, methodologies, processes, templates, or tools remain the intellectual property of CreativState. The Client is granted a non-exclusive, non-transferable license to use these for their own internal purposes.
The Consultant may reuse frameworks, methodologies, and concepts with other clients, provided no confidential information from the Client is disclosed.
9. Confidentiality
All information shared during the engagement will be treated as confidential and will not be disclosed without your consent, except as required by law.
9A. Privacy and Data Protection
By engaging CreativState, you acknowledge and agree to the processing of your personal data as described in our Privacy Policy.
We collect only the data necessary to provide our services (such as name, email, billing details, and project-related materials), store it securely, and retain it for up to one year after the completion of services unless a longer period is required by law.
We do not sell or trade your data and share it only when required by law or necessary for payment or accounting purposes.
You have the right to access, correct, or request deletion of your data, and to withdraw consent where processing is based on consent.

10. B2C Consumer Rights & 14-Day Withdrawal
If you are a consumer (B2C) under Croatian law, you have a statutory 14-day right of withdrawal for services purchased online or off-premises, in line with EU consumer protection law.
By requesting services to begin before this period ends, you acknowledge and agree that you waive this right.
This right of withdrawal does not override the cancellation rules in Section 6.
11. Limitation of Liability
While I aim to provide a high standard of service, CreativState will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data, arising from the services provided.
In any case, my total liability to you is limited to the amount you paid for the specific service in question.
12. Dispute Resolution & Governing Law
Both parties agree to first attempt to resolve disputes amicably or via mediation.
If resolution cannot be reached, the dispute will be subject to the jurisdiction of the competent courts in Croatia, under Croatian law.
13. Changes to These Terms
I may update these Terms from time to time. Any changes will be communicated via email or website update. Continued use of my services after such changes constitutes acceptance of the new Terms.
